Downloading, installing, and using the software, as well as obtaining and logging into your account, indicate that you agree to accept this Agreement and be bound by its terms.
Zhenyi reserves the right to modify this Agreement. If there are any updates to the terms of this Agreement, they will be announced on the official website or in the software and will take effect from the date of publication. Users can re - download and install the software on the website or view the latest version of this Agreement. After Zhenyi modifies the terms of this Agreement, if you do not accept the modified terms, please immediately stop using the "Zemyee Life" software and services provided by Zhenyi; continuing to use the "Zemyee Life" software and services provided by Zhenyi will be deemed as acceptance of the revised terms of this Agreement.
1.1. This Agreement is an agreement reached between you (hereinafter referred to as the "User") and Zhenyi and its operating partners (hereinafter referred to as the "Partners") regarding the User's download, installation, and use of Zhenyi's software "Zemyee Life" (hereinafter referred to as the "Software") and the use of Zhenyi's related services.
1.2. Zemyee Life is a sports and health - related App centered around smart hardware, providing functions such as accurate step counting, GPS sports recording, sports guidance, and health data analysis.
1.3. The Software and services are provided by Zhenyi and can be installed and used on (including but not limited to) mobile intelligent terminal devices to synchronize data collected by Zhenyi's products and track sports information.
1.4. The ownership and operation rights of the Software and services shall belong to Zhenyi.
2.1. Zhenyi grants the User a personal, non - transferable, and non - exclusive license to use the Software, but the User does not have the right to sublicense.
2.2. The User may install, use, display, and execute the Software on a single mobile terminal device for non - commercial purposes. However, the User shall not install, use, or execute the Software for commercial operations. The User shall not copy, alter, or modify any data of the Software, any data sent to the memory of any terminal device during the execution of the Software, or any interactive data generated between the client and the server during the execution of the Software, or use plug - ins to execute the Software, or create any derivative works (including but not limited to plug - ins) in any form, or access the Software and related systems through unauthorized third - party tools/services. If you need to sell, copy, or distribute the Software for commercial purposes, such as pre - installation and bundled sales of the Software, you must obtain written authorization and permission from Zhenyi.
2.3. Without the permission of Zhenyi, the User shall not install the Software on other terminal devices not explicitly permitted by Zhenyi, including but not limited to set - top boxes, game consoles, televisions, DVD players, etc.
2.4. The User may store a copy of the Software for the purpose of using the Software and services, but only for backup purposes. The backup copy must contain all the copyright data of the original Software.
2.5. Other rights not expressly authorized in this Agreement still belong to Zhenyi. The User must obtain written consent from Zhenyi when using other rights.
3.1. The User should download and install the Software from the website designated by Zhenyi or in the manner specified by it. Please note not to download the Software from non - designated websites to prevent the mobile device from being infected with malware that may damage the User's data and obtain the User's private data. If you obtain software or an installation program with the same name as the Software from an unauthorized third - party, Zhenyi cannot guarantee its normal use, and Zhenyi shall not be liable for any losses caused thereby.
3.2. The User must select a software version that is compatible with the installed terminal device. Otherwise, the User shall be responsible for any software problems, device problems, or damages caused by the incompatibility between the software version and the device model.
3.3. To improve the user experience and optimize the service content, Zhenyi reserves the right to provide replacement, modification, and upgrade versions of the Software and reserves the right to charge for such replacement, modification, or upgrade, but such charges will be obtained with your prior consent. The Software defaults to enabling the "Upgrade Prompt" function for the User. Depending on the software version used by the User, Zhenyi allows the User to decide whether to enable the above - mentioned function. After the release of a new software version, Zhenyi does not guarantee that the old software version can still be used.
4.1. The User shall comply with this Agreement and the law when using the Software and services. The User shall not engage in the following acts:
4.1.1. Delete any copyright information of the Software and other copies, or modify, delete, or circumvent the technical measures adopted by the Software to protect intellectual property rights;
4.1.2. Conduct reverse engineering on the Software, such as cracking, decompiling, or making other attempts to obtain the source code of the Software;
4.1.3. When the Software is executed, modify or forge instructions and data to increase, delete, or change the functions or execution effects of the Software, or operate the Software in other ways for the above - mentioned purposes or disseminate relevant methods to the public, regardless of whether it is for commercial purposes;
4.1.4. Use the Software to engage in any act harmful to network security, including but not limited to: using unauthorized data or accessing unauthorized servers/accounts; accessing public networks or other operating systems without authorization and deleting, modifying, or adding any stored data; attempting to detect, scan, or test the weaknesses of the Software system or network without authorization or engaging in other acts that damage network security; attempting to interfere with or disrupt the normal operation of the Software system or website, deliberately spreading malware or viruses, or engaging in other acts that disrupt or interfere with normal network information services; forging the name or part of the name of a TCP/IP data packet;
4.1.5. The User logs in to or uses the Software and services through third - party compatible software or systems that are not developed, authorized, or approved by Zhenyi, or creates, publishes, or disseminates the above - mentioned tools;
4.1.6. Without the written permission of Zhenyi, the User performs any operation on the Software or the data contained therein, including but not limited to using, leasing, lending, copying, modifying, creating links, reproducing, editing, publishing, publishing, creating mirror sites, or using unauthorized derivative products, works, services, plug - ins, compatibility, or interconnection related to software development;
4.1.7. Use the Software to publish, transmit, disseminate, or store content that violates national laws, endangers national security, national unity, social stability, or public order, or any inappropriate, insulting, pornographic, or violent content, or content that violates national laws and regulations;
4.1.8. Use the Software to publish, transmit, disseminate, or store content that infringes on the legitimate rights such as intellectual property rights and trade secrets of others;
4.1.9. Use the Software to batch publish, transmit, or disseminate advertising data or spam;
4.1.10. Use the Software and other services provided by Zhenyi in any illegal manner, for any illegal purpose, or in any manner inconsistent with the permitted use under this Agreement;
4.2. Data Publication Rules
4.2.1. You can use the Software to publish data that you have created or have the right to publish, such as opinions, data, text, data, user names, pictures, photos, personal profiles, audio or video files, links, etc. You must ensure that you have intellectual property rights or legal authorization for the uploaded data, and that your use of the Software and services will not infringe on the legitimate rights or interests of any third - party.
4.2.2. When using the Software, you must comply with the requirements of the "Seven Bottom Lines", namely, laws and regulations, the socialist system, national interests, the legitimate rights and interests of citizens, social public order, moral customs, and the authenticity of data.
4.2.3.1. Produce, copy, publish, disseminate, or store any of the following content that violates national laws and regulations:
(1) Any content that undermines the basic principles established by the Constitution;
(2) Any content that endangers national security, reveals state secrets, subverts state power, or undermines national unity;
(3) Any content that damages national honor and interests;
(4) Any content that incites ethnic hatred, ethnic discrimination, or undermines ethnic unity;
(5) Any content that undermines national religious policies, promotes cults, or feudal superstitions;
(6) Any content that spreads rumors, disrupts social order, or undermines social stability;
(7) Any content that spreads pornographic, gambling, violent, homicidal, terrorist, or criminal - instigating content;
(8) Any content that insults or slanders others and infringes on their legitimate rights and interests;
(9) Any content that incites illegal assemblies, associations, marches, demonstrations, or gatherings to disrupt social order;
(10) Any content related to activities in the name of illegal non - government organizations;
(11) Any other content prohibited by laws and administrative regulations.
4.2.3.2. Publish, transmit, disseminate, or store content that infringes on the legitimate rights such as the right of reputation, the right of portrait, intellectual property rights, and trade secrets of others;
4.2.3.3. Fabricate facts or conceal the truth to mislead or deceive others;
4.2.3.4. Without the permission of Zhenyi, you shall not engage in any commercial activities in the Software, such as advertising and selling goods.
4.2.3.5. Engage in other acts that violate laws and regulations, policies, public order, and social morality.
4.2.3.6. For the Software products downloaded from non - Zhenyi - designated sites and obtained from non - Zhenyi - issued media, Zhenyi cannot guarantee whether the Software is infected with computer viruses, whether there are disguised Trojan horse programs or hacker software hidden. Using such Software may lead to unpredictable risks. It is recommended that users do not easily download, install, or use it. Zhenyi shall not bear any legal liability arising therefrom.
4.3 You understand and agree that:
4.3.1. Zhenyi will determine whether the User is suspected of violating the above - mentioned usage rules and, based on the determination result, suspend or terminate the license granted to you, or take other restrictive measures in accordance with this Agreement;
4.3.2. Zhenyi will directly delete any data posted by the User when using the licensed Software that is suspected of being illegal, infringing on the legitimate rights of others, or violating this Agreement;
4.3.3. If you cause damage to a third - party by violating the above - mentioned usage rules, you shall independently bear the liability in your own name and indemnify Zhenyi against any losses or expenses arising therefrom;
4.3.4. The User shall indemnify Zhenyi against any and all losses, third - party claims, administrative penalties, damages, and/or expenses (including reasonable attorney's fees, investigation, and evidence - collection fees) incurred or suffered by Zhenyi due to the User's violation of relevant laws or this Agreement.
5.1. Zhenyi attaches great importance to the protection of personal data. To provide software functions and enhance the user experience, Zhenyi will collect the following types of data:
5.1.1. Information about You: We may collect and use data such as your Zemyee Life account, avatar, personal signature, nickname, gender, time zone, language, and region. This data will be used to create your Zemyee Life account.
5.1.2. Shopping - Related Information: When using Zemyee Life for shopping, we will collect your shopping - related information. This data will be used to process your orders, including but not limited to: payment data, delivery data, bank accounts, billing addresses, credit verification, and other financial data, contact and communication records, etc.
5.1.3. Personal Physical Information: After launching Zemyee Life, we need you to provide your birthday, height, weight, and gender data to calculate your sports results.
5.1.4. Device Record Data: When you use Zemyee Life to synchronize device data, we will record personal data, including but not limited to activity information, sleep, heart rate, weight, body composition (body fat percentage, muscle weight, water content, basal metabolism, visceral fat level, bone mass).
5.1.5. Call Information: When you use the call and SMS reminder functions, you will obtain the status of calls and text messages. If you permit the acquisition of call contact information, the contact data will be displayed when the device receives calls and text messages. However, Zemyee Life will not store your contact and other related information.
5.1.6. Mobile Phone Information: When you use Zemyee Life, to determine whether your mobile phone is supported, we need to obtain your mobile phone's operating system version and the brand and model of the mobile phone.
5.1.7. Network Usage Data: We may collect the network type, network signal, etc. related to specific functions of Zemyee Life.
5.1.8. Location Data: When you use location - based program services or functions, we may collect your location data. For example, when you record running tracking information through the running function of Zemyee Life, use location - based advertising, use the location - optimized weather function, or request map information, your location information may be sent back to Zemyee Life so that Zemyee Life can provide you with accurate content.
5.1.9. Log Information: When you browse the Zemyee Life server, our server will automatically record certain record data, including but not limited to: IP address, browser type, browser language, referring page, operating system, timestamp, and click - stream data.
5.1.10. Device Information: When you use Zemyee Life to connect to a hardware device (including but not limited to), data such as the device's unique identifier, firmware version, and approximate geographical location (non - personal data) will be sent to the server. The above - mentioned data collection may also apply when you update your system or software, restore factory settings, etc.
5.1.11. Debugging Information: When you choose to upload debugging information to assist us in analyzing problems, your debugging information will be transmitted to the server.
5.2. Zhenyi has formulated strict rules for processing user - uploaded information and security protection measures to ensure that user information is collected within the intended purpose and scope, to ensure the security of user - uploaded information, and to ensure that user - uploaded information is not misused. Unless expressly agreed by the user or required by law, Zhenyi will not provide user - uploaded files and information to any third - party.
6.1. Users must purchase the devices required for Internet access and use value - added telecommunications services through mobile terminal devices, and bear the communication fees, data fees, and related expenses incurred when their personal mobile terminal devices connect to the Internet or charged by third - parties (including but not limited to telecommunications and mobile communication operators). If you need any value - added telecommunications services, it is recommended that you confirm the fees with the value - added telecommunications service provider.
6.2. Neither Zhenyi nor its partners shall be liable for any losses suffered by users due to third - party reasons (such as communication network failures, technical problems, network or mobile terminal device failures, system malfunctions, and various other force majeure factors).
6.3. Like most other Internet software, this software may be affected by some factors, including but not limited to user - related reasons, the quality of network services, and differences in the social environment. It may also be troubled by various security - related problems. For example, others may use user data, causing annoyance in real life; other software downloaded or installed by users, or other websites browsed by users may contain "Trojan programs" and other viruses, endangering the data and data security of the user's terminal device and thus affecting the normal use of this software. Users should strengthen their awareness of information security and user data protection and pay attention to strengthening password protection to avoid losses and annoyance.
6.4. When users use this software or request Zhenyi to provide specific services, the software may call third - party systems or software to support users' use or access. The results of use or access will be provided by third - parties. Zhenyi does not guarantee the security, accuracy, and effectiveness of the results obtained through supporting such systems or software, nor does it guarantee against any other uncertain risks; if any disputes or losses arise therefrom, Zhenyi will not bear any liability.
6.5. Zhenyi especially requests customers to note that, in order to protect the company's business development and adjust its autonomy, Zhenyi has the right to change or suspend services at any time without notice and without liability to users or any third - party.
6.6. Unless otherwise explicitly provided by laws and regulations, we will try our best to ensure that the software and related technologies and information are secure, effective, accurate, and reliable; however, due to existing technological limitations, users understand that Zhenyi cannot provide such guarantees.
6.7. Users shall be solely responsible for personal injury, accidents, or consequential losses caused by or related to the following reasons, including but not limited to:
(1) Use or non - use of the licensed software;
(2) Unauthorized use of the software by third - parties or modification of user data;
(3) Fees and losses incurred by users during the use of the software;
(4) Users' misunderstanding of the software;
(5) Other losses related to the software not caused by Zhenyi.
6.8. If any personal injury, death, or property loss is caused by the actions of users or other software users through any software, or if users are misled or deceived, the party at fault shall bear all the liabilities arising therefrom.
7.1. All intellectual property rights of this software and all information content related to this software, including but not limited to: written expressions and their combinations, icons, ornaments, images, charts, colors, interface designs, layout frameworks, relevant data, additional programs, printed materials, or electronic documents, etc., are owned by Zhenyi and are protected by copyright laws, international copyright treaties, and other intellectual property laws and regulations.
7.2. Without Zhenyi's prior written consent, users shall not, for any commercial or non - commercial purpose, independently or allow any third - party to use or transfer any of the above - mentioned intellectual property rights without authorization. Zhenyi reserves the right to pursue legal liability for such acts.
8.1. Zhenyi reserves the right to amend the terms of this Agreement at its sole discretion from time to time. Any such amended terms will be promptly published on the relevant webpage. If you do not agree to any amendment, you should voluntarily cancel the relevant services. If you continue to use the services, you will be deemed to have accepted the amended Agreement.
8.2. Zhenyi or its partners reserve the right to modify or change the paid services, charging standards, charging models, service fees, or service terms provided at their sole discretion from time to time. When providing services, Zhenyi may start to charge users for certain current or future fees. If users refuse to pay such fees, they will not be able to continue using the relevant services after the charging starts. Zhenyi and its partners will make their best efforts to notify users of any amendments or adjustments by email or other means.
9.1. In the following circumstances, Zhenyi has the right to terminate the services provided to users:
9.1.2 When users violate the relevant provisions of this Service Agreement, Zhenyi has the right to terminate the services provided to users; if such users register as users again, either directly or indirectly or in the name of others, once discovered, Zhenyi has the right to directly and unilaterally terminate the services provided to users;
9.1.3. Once Zhenyi discovers that the data or information provided by users contains false content, Zhenyi has the right to terminate the services provided to users at any time;
9.1.4. When the Service Terms are terminated or updated, if users explicitly indicate that they are unwilling to accept the new service terms;
9.1.5. And other circumstances where Zhenyi deems it necessary to terminate the services provided to users.
9.2. After the service is terminated, Zhenyi has no obligation to retain any information in the user's original account or related information, or to forward any unread or unsent information to the user or third - parties.
9.3. Users understand and agree that, even after this Agreement is terminated and the user's services are terminated, Zhenyi still has the right to:
9.3.1. Continue to save your user information;
9.3.2. Continue to claim from users the liability they should bear for violating laws and regulations, this Agreement, and platform rules during their use of the Zemyee Life services.
10.1. In view of the particularity of network services, users are required to agree that Zhenyi may change, interrupt part or all of the network services, and delete (no longer save) any information submitted by users during the use process, without notifying users or being liable to any user or any third - party.
10.2. Zhenyi needs to regularly or irregularly detect or update the platform providing network services. If such network services are interrupted within a reasonable time due to such circumstances, Zhenyi shall not be liable for this.
11.1. The validity and interpretation of this Agreement are governed by the laws of the Mainland of the People's Republic of China. If there are no relevant legal provisions, international business practices and/or general business practices may be referred to.
11.2. This Agreement is signed in Shenzhen, Guangdong Province, China.
11.3. Both users and Zhenyi agree that all disputes arising from the services shall first be resolved through consultations between the two parties. If the disputes cannot be resolved through consultations, either party may bring the disputes to a court with jurisdiction in the place where this Agreement is signed.
12.1. For any specific services of the software, there may be separate agreements and relevant commercial terms (hereinafter collectively referred to as "Separate Agreements"). Therefore, before using these specific services, please carefully read and agree to the relevant Separate Agreements.
12.2. This Agreement shall come into force on April 1, 2025.
12.3. All the clause titles in this Agreement are for convenience of reference only and shall be ignored when interpreting this Agreement.
12.4. If any clause of this Agreement is invalid or becomes invalid or unenforceable for any reason, the other clauses of this Agreement shall still be in full force and binding on both parties to this Agreement.
